1. Introduction
These Terms & Conditions ("Terms") govern the relationship between Potteries Digital (trading as "SEO Agency Stoke-on-Trent", "we", "us", "our") and you ("Client", "you", "your") when you purchase SEO services from us.
By engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Our SEO Services
We provide search engine optimisation (SEO) services including but not limited to:
- Technical SEO audits and fixes
- Local SEO and Google Business Profile optimisation
- On-page and off-page SEO
- Content marketing and keyword research
- Link building and digital PR
- eCommerce SEO (Shopify, WooCommerce, Magento)
- SEO consulting

3. Contract Term – 30-Day Rolling Contract
This is our most important term. All SEO service agreements are structured as 30-day rolling contracts.
3.1 Start Date
The contract begins on the date you sign our proposal or service agreement ("Start Date").
3.2 Initial Term
The initial term is 30 days from the Start Date.
3.3 Rolling Renewal
After the initial 30-day term, the contract automatically renews on a rolling 30-day basis unless either party gives written notice to terminate.
3.4 No Minimum Contract Length
Unlike many SEO agencies that require 6-month or 12-month commitments, we have no minimum contract length. You are never locked in.
📌 Example: If you start on 1st January and give notice on 15th January, your contract ends on 31st January (30 days from notice). You only pay for January.
4. Cancellation Policy
4.1 How to Cancel
You may cancel your contract at any time by providing 30 days' written notice via email to hello@seoagencystokeontrent.com. Verbal cancellations are not accepted.
4.2 Cancellation Effective Date
Your cancellation takes effect 30 calendar days from the date we receive your written notice. You are responsible for fees during this 30-day notice period.
4.3 No Cancellation Fees
We do not charge cancellation fees, early termination fees, or penalties for cancelling your contract.
4.4 Refund Policy
Because SEO services are delivered continuously (content creation, link building, technical work), we do not offer refunds for partially completed months. If you cancel with 30 days' notice, you will not be billed for any months after the notice period ends.
4.5 Our Right to Cancel
We reserve the right to terminate the contract with 30 days' written notice if:
- You breach these Terms and fail to remedy the breach within 14 days of written notice;
- You engage in or promote illegal activity;
- You provide false or misleading information;
- Payment is more than 30 days overdue.
5. Pricing and Payment
5.1 Monthly Retainer
Our services are billed as a monthly retainer at the rates published on our Pricing page or as quoted in your proposal.
5.2 Payment Terms
- Invoices are issued at the start of each calendar month.
- Payment is due within 14 days of the invoice date.
- We accept payment via bank transfer, direct debit (GoCardless), or credit/debit card (Stripe).
5.3 Late Payment
Late payments may result in suspension of services. We reserve the right to charge statutory late payment interest at 8% plus the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
5.4 No Setup Fees
We do not charge setup fees for our monthly SEO retainers. One-off services (e.g., SEO audit) are clearly priced and invoiced separately.
5.5 VAT
Where applicable, VAT will be added to invoices at the current UK rate (20%). Our VAT number is GB 392 5471 82.
6. What We Do NOT Guarantee
Transparency is core to our business. Please read this section carefully.
- We do NOT guarantee specific rankings – Google's algorithm is controlled by Google, not by us. No ethical SEO agency can guarantee #1 rankings.
- We do NOT guarantee a specific number of backlinks – Link building depends on outreach success, content quality, and journalist relationships.
- We do NOT guarantee a specific timeline for results – SEO typically takes 3-6 months for initial improvements and 6-12 months for significant growth.
- We do NOT guarantee that algorithm updates won't affect rankings – Google updates its algorithm hundreds of times per year. Our holistic methodology is designed to survive updates, but we cannot control Google.

7. Your Responsibilities
To deliver effective SEO services, you agree to:
- Provide reasonable access to your website (read-only access to CMS, Google Analytics, Google Search Console).
- Respond to reasonable requests for information within 5 business days (e.g., content approval, strategy feedback).
- Ensure your website does not violate any laws or Google's Webmaster Guidelines.
- Notify us promptly of any website changes (redesigns, platform migrations, URL changes) that may affect SEO.
- Pay invoices on time as set out in Section 5.
If you fail to meet these responsibilities, we may pause work until cooperation resumes. Paused time does not extend contract terms.
8. Intellectual Property
8.1 Our IP
All methodologies, processes, proprietary tools, reports, and strategies developed by us remain our intellectual property. You receive a licence to use deliverables (e.g., optimised content, technical fixes) for your business purposes but may not resell or redistribute our methodologies.
8.2 Your IP
Your website content, brand assets, and business data remain your property. We do not claim ownership of any content we help optimise or create on your behalf.
8.3 Case Studies & Testimonials
Unless you explicitly opt out, we may include your business in our case studies and testimonials (anonymised if requested). You may request removal at any time via email.
9. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement, including:
- Login credentials and access details
- Financial information and conversion data
- Proprietary business strategies
- Unpublished campaign data
This obligation survives the termination of the contract.
10. Limitation of Liability
Please read this carefully – it limits our financial responsibility to you.
10.1 Exclusion of Consequential Loss
To the maximum extent permitted by law, we are not liable for any indirect, consequential, or special damages, including but not limited to:
- Loss of revenue, profits, or business opportunities
- Loss of data or website rankings
- Loss of goodwill or reputation
- Costs of substitute services
10.2 Cap on Liability
Our total liability to you for any claim arising from these Terms or our services is limited to the total fees paid by you to us in the 3 months preceding the claim.
10.3 Nothing in this section excludes liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded under UK law
11. Force Majeure
We are not liable for delays or failure to perform caused by circumstances beyond our reasonable control, including but not limited to: Google algorithm updates, internet outages, cyber attacks, government actions, pandemics, or natural disasters.
12. Data Protection (GDPR)
We process personal data in accordance with our Privacy Policy and UK GDPR. Key points:
- We are a Data Controller for your business contact information.
- We are a Data Processor for any customer data we access on your behalf (e.g., Google Analytics).
- Our ICO registration number is ZB512784.
- You retain ownership of all your customer data.

13. Dispute Resolution
13.1 Informal Resolution
If a dispute arises, both parties agree to first attempt good-faith negotiation within 14 days. Contact Henry Collins (Founder) directly to escalate.
13.2 Mediation
If negotiation fails, either party may提议 mediation through the Centre for Effective Dispute Resolution (CEDR) or an equivalent UK mediation service.
13.3 Governing Law
These Terms are governed by the laws of England and Wales. Any legal proceedings shall be brought exclusively in the courts of Stoke-on-Trent, Staffordshire.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email (for active clients) or prominently on our website. Continued use of our services after changes constitutes acceptance of the new Terms.
15. Entire Agreement
These Terms, together with your signed proposal or service agreement, constitute the entire agreement between you and us. They supersede any prior agreements, representations, or understandings.
